Conservator on Retainer Program
Terms and Conditions
1. Membership Eligibility and Enrollment
1.1 Membership in the Conservator on Retainer program (“Program”) is open to organisations, institutions, allied businesses, CorporART Care clients, and international museums as specified in the relevant Program documentation.
1.2 By enrolling, the member confirms they have the authority to enter into this agreement on behalf of their organisation.
1.3 Membership is for the client organisation only and is non-transferable without prior written consent from Endangered Heritage Pty Ltd (“Endangered Heritage”).
1.4 Multi-site membership is designed for organisations with 6-10 sites including storage areas which may be un-staffed. Endangered Heritage reserves the right to reject application from organisations or local regional councils with more than 10 locations or alternatively to offer multiple memberships to cover the extra sites.
2. Membership Duration and Renewal
2.1 All memberships are valid for 12 months from the date of sign-up unless otherwise agreed in writing.
2.2 Memberships can be upgraded at any time during the 12-month period by paying the outstanding pro-rata fees; the upgraded benefits take effect immediately upon payment.
2.3 Renewals are subject to current fees and terms applicable at the time of renewal.
2.4 Endangered Heritage reserves the right to modify program offerings, fees, and terms upon renewal with reasonable prior notice to members.
3. Program Services and Benefits
3.1 Members receive access to program benefits and services as detailed in the relevant program documentation and membership level selected.
3.2 Endangered Heritage commits to providing professional, qualified conservation and heritage advice and services but does not guarantee specific outcomes or results.
3.3 The member is responsible for engaging and applying advice or services received from the program appropriately within their organisation.
3.4 Access to certain services, such as private seminars, crisis support, and analytical testing, is subject to availability and member compliance with scheduling requirements (e.g., advance notice).
3.5 Privately booked meetings must be booked in advance by 1 month to allow for content development and research by the conservators to enable the highest standard of information is delivered.
3.6 Discounts on workshops are exclusive of travel and accomodation costs
3.7 Membership provides reviews of disaster response strategies for free and members are encouraged to take advantage of this offering as it may impact the quality of advice given in a crisis situation.
4. Fees, Payments, and Discounts
4.1 Membership fees are set out in the relevant Program documentation and are exclusive of GST or other applicable taxes unless otherwise specified.
4.2 Fees must be paid in full before access to Program services and benefits is granted.
4.3 Discounts on workshops, digitising, conservation assessments, and other services are conditional upon active membership and the membership level at the time of service delivery.
4.4 All fees, discounts, and service prices are subject to change by Endangered Heritage at its discretion with reasonable notice.
4.5 Billing Errors and Adjustments:
a) In the event of any technical or administrative error resulting in incorrect billing, Endangered Heritage reserves the right to correct the error.
b) If overcharged, the member will be refunded the difference promptly.
c) If undercharged, the member agrees to pay the outstanding amount within a reasonable timeframe upon notification.
d) Continued use of services after notification of an undercharge constitutes acceptance of the corrected amount.
4.6 Discounts and deals offered and applied to membership in partnership with AMAGA or other third party organisations, excludes Multisite-memberships, unless individually negotiated.
5. Quotes and Additional Services
5.1 All quotes provided for conservation or related services are estimates based on current knowledge and membership level.
5.2 Quotes may be revised if the membership level changes, if project scope changes, material costs change or if unforeseen circumstances arise.
5.3 Members acknowledge that quotes are not fixed contracts and agree that Endangered Heritage may adjust prices accordingly to reflect actual service delivery and membership entitlements.
5.4 Members agree not to exploit pricing or membership tier differences by downgrading or upgrading membership solely to gain unfair financial advantage.
6. Crisis and Emergency Support
6.1 Crisis support services are available 24/7 to members at specified membership levels.
6.2 Members must provide accurate contact information and respond promptly to requests from Endangered Heritage during crisis interventions.
6.3 Crisis support is limited to professional advice and coordination; physical interventions or treatments may incur additional fees and are subject to availability and location access.
6.4 Advice in a crisis can only be based on pre-existing knowledge of the site, location and collection materials and may be dependant on a pre-existing disaster plan review.
7. Intellectual Property and Confidentiality
7.1 All materials, presentations, and seminar content provided during the Program remain the intellectual property of Endangered Heritage or its licensors.
7.2 Members are granted a limited, non-transferable license to use such materials for internal purposes only and may not reproduce, distribute, or publicly or privately share without prior written consent.
7.3 Confidential information exchanged between parties must be kept confidential and only used for the purpose of the Program.
7.4 Endangered Heritage will treat member information with appropriate confidentiality and data protection standards.
7.5 On occasion deals, specials, bulk supplies and special offers of collaboration, may come to staffs attention. Consent of members will be sort prior to any disclosure to other members to co-opt in bulk purchases or offers.
8. Liability and Indemnity
8.1 Endangered Heritage provides services with reasonable care and skill but does not guarantee specific outcomes or assume liability for consequential losses.
8.2 To the maximum extent permitted by law, Endangered Heritage disclaims all warranties and is not liable for loss or damage arising from the use or inability to use Program services or advice.
8.3 Members agree to indemnify Endangered Heritage against any claims, damages, or costs arising from misuse or misapplication of advice or services provided under the Program.
8.4 Endangered Heritage own the copyright on all photos and images taken of objects under their care.
9. Termination and Suspension
9.1 Membership may be terminated by either party with 30 days written notice.
9.2 Endangered Heritage reserves the right to suspend or terminate membership immediately if a member breaches these terms, fails to pay fees, or acts in a manner detrimental to the Program or other members.
9.3 Upon termination, access to all Program benefits will cease, and outstanding fees must be settled promptly.
9.4 If termination or suspension is requested by either party with more than 6months remaining on the membership term the remaining pro-rata fees will be returned. However if there is less than 6 months remaining on membership term the member forfeits the remaining membership fee.
10. Governing Law and Dispute Resolution
10.1 Any disputes over the quality of service treatment result shall be arbitrated by a member of the Australian Institute of Conservation of Cultural materials, who will objectively apply the AICCm code of practice to the process used in the treatment approach and reporting.
10.2 Any disputes arising under or related to these terms shall first be addressed through good faith negotiation.
10.3 If unresolved, disputes may be referred to mediation or arbitration as agreed by the parties.
11. General Provisions
11.1 These Terms and Conditions, together with the relevant Program documentation, constitute the entire agreement between the parties.
11.2 No waiver of any provision shall be effective unless in writing or email and agreed to by the Director of Endangered Heritage.
11.3 If any provision is found invalid or unenforceable, the remainder shall continue in full force and effect.
11.4 Members must keep their contact and billing details current and notify Endangered Heritage of any changes promptly.
